Terms of Service

These terms of service (“Terms”) govern your use of the Template Empire website and your purchase of digital products from us. By creating an account or placing an order, you agree to be bound by these Terms.

Please read these Terms carefully before making a purchase. If you do not agree with any part of these Terms, you must not use our website or purchase our products.

1. Definitions

• “We”, “us”, “our” — Halbon Labs Ltd, trading as Template Empire
• “You”, “your” — the person or entity creating an account or placing an order
• “Products” — digital content sold through our website, including templates, UI kits, and bundles
• “Template” — a production-ready software codebase in a specified web stack and tier
• “UI Kit” — an Empire UI frontend component kit
• “Licence” — the commercial licence granted under our Licence Agreement
• “Website” — templateempire.io, including all subdomains

2. About Us

Template Empire is a trading name of Halbon Labs Ltd, a company registered in England and Wales (Company No. 16608971). Our registered office is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.

In accordance with the Companies Act 2006, s.82, our company name and registration details appear on every page of this website.

3. Contract Formation

1. Browsing our catalogue and adding items to your cart does not constitute a contract.
2. When you submit an order and your payment is successfully processed by Stripe, a binding contract is formed between you and Halbon Labs Ltd on these Terms.
3. You will receive an order confirmation email with your licence key(s) and download link(s). This email is your proof of purchase.
4. We reserve the right to refuse or cancel an order if we suspect fraud or if pricing errors have occurred. In such cases, we will refund any payment taken.

4. Our Products

We sell digital content in the form of software source code. Our products are categorised as follows:

• Template Lite (TL) — entry-level full-stack templates with 60–73 features
• Template Pro (TP) — mid-tier templates with multi-tenancy, teams, and admin (85–98 features)
• Template Enterprise (TX) — top-tier templates with SSO, white-label, and compliance (120–133 features)
• Empire UI Kits — frontend-only animated UI kits (12–28 pages)
• Bundles — curated combinations of templates and/or UI kits at a discounted price

All products are digital content as defined under the Consumer Rights Act 2015, Part 1, Chapter 3. Product descriptions, feature lists, and stack availability are as stated on the relevant product page at the time of purchase.

5. Pricing & Payment

All prices are displayed in GBP (£) and are inclusive of VAT where applicable. We reserve the right to change prices at any time, but changes will not affect orders already placed.

Payments are processed securely by Stripe. We accept major credit and debit cards. We do not store your payment card details on our servers.

Our products are one-time purchases. There are no recurring subscription fees unless explicitly stated for a specific product or service.

6. Delivery

Digital content is delivered immediately after successful payment. You will receive:

• A commercial licence key displayed in your account dashboard
• Access to download the source code from your account page
• An order confirmation email with purchase details

If you experience any issues accessing your purchase, contact us at support@templateempire.io and we will resolve it promptly.

7. Consumer Rights & Refunds

7.1 Your Statutory Rights

Under the Consumer Rights Act 2015, digital content must be of satisfactory quality (s.34), fit for a particular purpose (s.35), and as described (s.36). If our products fail to meet these standards, you are entitled to a repair or replacement, or a full or partial refund.

7.2 Right to Cancel (Cooling-Off Period)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you normally have a 14-day cooling-off period for online purchases. However, for digital content that is not supplied on a tangible medium, this right is lost once the content has been accessed or downloaded with your prior express consent, in accordance with Regulation 37(1)(a).

By completing a purchase and accessing your download, you acknowledge that:

1. You consent to the immediate supply of digital content; and
2. You acknowledge that you will lose your right to cancel once the content has been accessed.

7.3 Voluntary Refund Policy

In addition to your statutory rights, we offer a 14-day refund window from the date of purchase if you are genuinely unsatisfied with the product. To request a refund, email support@templateempire.io with your order number and the reason for your request. We may ask for details to help us improve our products.

This voluntary policy does not affect your statutory rights under the Consumer Rights Act 2015.

8. Licence

Each purchase includes a commercial licence to use the product in accordance with our Licence Agreement. The Licence Agreement forms part of these Terms. Key terms include:

• One licence per production project (one deployed domain)
• You may modify the source code for your project
• You may not redistribute, resell, or sublicence the source code as a template or starter kit
• The licence is transferable to a client project

9. Acceptable Use

You agree not to:

• Use the website for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorised access to any part of the website or its systems
• Interfere with the proper functioning of the website
• Use automated tools to scrape, crawl, or download content from the website (except standard search engine indexing)
• Create multiple accounts to circumvent licence restrictions or obtain duplicate refunds
• Misrepresent your identity or affiliation when placing orders or contacting support

We reserve the right to suspend or terminate your account if you breach these acceptable use provisions.

10. Intellectual Property

All intellectual property rights in the website, its content, our brand, and our products (including source code, documentation, design, and copy) are owned by Halbon Labs Ltd and are protected under the Copyright, Designs and Patents Act 1988.

When you purchase a product, you receive a licence to use the source code as specified in the Licence Agreement. Ownership of the intellectual property in the original source code remains with us. Modifications you make to the code for your project are owned by you.

11. Limitation of Liability

11.1 Our Liability

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any matter which cannot be excluded or limited under applicable law, including your statutory rights under the Consumer Rights Act 2015

11.2 Exclusions

Subject to section 11.1, to the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity
• Our total aggregate liability to you for any claims arising from or related to these Terms shall not exceed the amount you paid for the product(s) giving rise to the claim
• We are not liable for any losses arising from your use of modified source code, deployment configuration, or third-party services integrated with our products

11.3 Fitness for Purpose

Our products are general-purpose software templates. You are responsible for evaluating whether a product is suitable for your specific requirements before purchasing. Product descriptions and feature lists are provided for guidance and do not constitute a warranty of fitness for any particular purpose beyond what is required by the Consumer Rights Act 2015, s.35.

12. Indemnification

If you are a business user, you agree to indemnify and hold harmless Halbon Labs Ltd, its directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of our products, or infringement of any third party's rights through your use of the products.

This clause does not apply to you if you are purchasing as a consumer within the meaning of the Consumer Rights Act 2015.

13. Termination

We may terminate or suspend your account and access to the website at our discretion if you materially breach these Terms. Upon termination:

• Your right to access the website and your account will cease
• Licences for products already purchased remain valid (the Licence Agreement survives termination of your account)
• We may retain data as required by law (see our Privacy Policy)

You may close your account at any time by emailing support@templateempire.io.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised “Last updated” date. Material changes will be communicated via email or a prominent website notice. Continued use of the website after changes take effect constitutes acceptance of the updated Terms.

Changes will not retrospectively affect orders already placed under the previous version of these Terms.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.

If you are a consumer, you will benefit from any mandatory provisions of the law of the country in which you reside, and nothing in these Terms affects your statutory rights.

We encourage resolving disputes informally first. If you have a complaint, please contact us at support@templateempire.io and we will endeavour to resolve it promptly.

16. General Provisions

• Entire agreement — these Terms, together with the Licence Agreement and Privacy Policy, constitute the entire agreement between you and Halbon Labs Ltd regarding the subject matter herein
• Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
• No waiver — our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
• Assignment — we may assign our rights under these Terms. You may not assign your rights without our written consent
• Third-party rights — no third party has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms
